This Non-Disclosure Agreement (the "Agreement") is entered into by and between Nate Poon, PhD (njmper22@gmail.com), hereinafter referred to as the "Owner," and the entity accessing this document and clicking the "I accept" button, hereinafter referred to as the "Recipient," effective as of the date of acceptance.
Confidential Information:
The term "Confidential Information" shall mean any and all information disclosed by the Owner to the Recipient, including but not limited to documents, data, ideas, concepts, strategies, business plans, financial information, technical data, or any other information marked as confidential or which a reasonable person would understand to be confidential.
Obligations of Recipient:
Non-Disclosure: The Recipient agrees not to disclose, publish, or disseminate any Confidential Information to any third party without the prior written consent of the Owner.
Prohibition on Posting: The Recipient agrees not to post, upload, or otherwise make this document available on any public forums, websites, or social media platforms without the prior written consent of the Owner.
Prohibition on Replication: The Recipient agrees not to take screenshots, copy/paste, or otherwise replicate this document in whole or in part without the prior written consent of the Owner.
Prohibition on Summarization: The Recipient agrees not to use ChatGPT or any other summarizer to summarize, paraphrase, or otherwise create derivative works based on this document without the prior written consent of the Owner.
Exceptions:
The obligations set forth above shall not apply to any information that: (a) is or becomes publicly available without breach of this Agreement; (b) was known to the Recipient prior to its disclosure by the Owner; (c) is received from a third party without restriction and without breach of a confidentiality obligation; or (d) is independently developed by the Recipient without reference to the Confidential Information.
Term:
This Agreement shall remain in effect indefinitely, unless terminated earlier by mutual agreement of the parties or by operation of law.
Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of New York.
Binding Agreement:
By typing their name and clicking the "I accept" button, the Recipient acknowledges that they have read and understood this Agreement and agrees to be bound by its terms.
